Please read these Terms of Service ("Terms") carefully before using the services provided by WebOwer ("WebOwer", "we", "us"). By engaging our services or using our website, you agree to be bound by these Terms.

1. Services
WebOwer provides custom software development, web design, hosting, and related digital services as described in individual project proposals and service agreements. The specific scope, deliverables, timelines, and pricing for each project are agreed in writing prior to commencement of work.
2. Proposals and Agreements
A project begins when a written proposal or statement of work has been accepted by the client. Acceptance may be indicated by written confirmation (email is sufficient), payment of a deposit, or other explicit approval. Verbal agreements are not binding.
3. Payment Terms
- A deposit of 40-50% of the total project fee is required before work commences.
- The remaining balance is due upon project completion and before the final deliverable is transferred or deployed.
- Invoices are payable within 8 days of issue unless otherwise agreed.
- Late payments accrue interest at the statutory rate under Hungarian law.
- Hosting and maintenance plans are billed monthly or annually in advance.
4. Revisions and Scope Changes
Each project includes a defined number of revision rounds as specified in the proposal. Requests outside the agreed scope will be quoted separately. Significant scope changes may require a revised proposal and timeline.
5. Intellectual Property
Upon receipt of full payment, the client receives ownership of the custom code, design assets, and content created specifically for their project. WebOwer retains the right to use the work in its portfolio. Open-source libraries and third-party components included in the project remain subject to their respective licences.
6. Client Responsibilities
The client agrees to:
- Provide all necessary content, materials, and access in a timely manner
- Designate a primary point of contact for decisions and approvals
- Review and approve deliverables within the agreed timeframes
- Ensure that all content provided does not infringe third-party intellectual property rights
7. Warranties and Liability
WebOwer warrants that the delivered work will substantially conform to the agreed specification. We provide a 30-day warranty period after project delivery, during which we will correct defects at no additional charge.
To the maximum extent permitted by law, WebOwer's total liability for any claim arising from our services is limited to the total fees paid by the client for the relevant project in the preceding 12 months.
8. Termination
Either party may terminate the agreement with 14 days' written notice. In the event of termination, the client pays for all work completed up to the termination date. Deposits are non-refundable if the client terminates without cause after work has commenced.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information received from the other party and not to disclose it to third parties without prior written consent.
10. Right of Withdrawal (Custom Work)
Because our services consist of custom software, design, and content produced specifically to the client's individual specifications, the 14-day withdrawal right available to consumers under EU consumer-protection rules does not apply once work on the agreed scope has begun, in accordance with Govt. Decree 45/2014 (II.26.) Art. 29(1)(c) (custom-made goods/services exception).
11. Complaints
If you are unhappy with our service, please contact us first at hello@webower.com so we can resolve the issue directly. We aim to respond to every complaint within 30 days. If you are a consumer and remain unsatisfied, you may also contact the Hungarian consumer protection authority (the government office competent for your place of residence) or initiate proceedings before the competent Conciliation Board (Békéltető Testület).
12. Governing Law
These Terms are governed by Hungarian law, in particular Act V of 2013 on the Civil Code (Ptk.), Act CVIII of 2001 on electronic commerce services (Eker. tv.), and — for consumer clients — Govt. Decree 45/2014 (II.26.) on distance and off-premises contracts. Any disputes shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary.
